1. Agreement to These Terms
Effective date: October 23, 2026.
These Terms of Service ("Terms") are a contract between you and Core Nexus, Inc., an Indiana corporation ("Core Nexus," "we," "us" or "our"). Core Nexus makes and operates Quorvia and The Blind Bots (together, the "Services"). Quorvia is the business platform for window-treatment Retailers and Brands: quoting, CRM, scheduling, e-signatures, deposits and invoicing, ordering, warranty tracking, email campaigns, engagement tracking, a website chatbot and live chat. The Blind Bots is the AI visualizer and conversational AI built into it, which renders blinds, shades, shutters and drapery onto photos of real windows. The Services include quorvia.com, theblindbots.com, app.quorvia.com, our web and mobile applications, chatbot and texting tools, APIs and support.
By creating an account, clicking "I agree," placing an order or using the Services, you accept these Terms and our Privacy Policy. If you use the Services for a company, you accept these Terms for that company and confirm that you have authority to bind it. If you do not agree, do not use the Services.
These Terms replace the earlier Terms of Service for The Blind Bots. Section 17 contains a binding arbitration clause and a class-action waiver that affect how disputes between us are resolved. Please read it.
2. Definitions
- Account means the login and workspace created for you or your company on the Services.
- Brand means a manufacturer, fabricator or supplier of window-treatment products that lists its catalog, receives orders or otherwise works with Retailers through the Services. Every manufacturer and supplier is a Brand; there is no separate manufacturer category.
- Retailer means a business that sells window treatments to its own customers and uses the Services to quote, visualize, sell, order and manage that work.
- Customer means the Retailer or Brand that holds an Account. You and your refer to the Customer and, where the context requires, its Users.
- User means any person who signs in under an Account, including owners, staff and installers.
- Shopper means a Retailer's end customer, including anyone who uses a Retailer's chatbot, visualizer, estimate link, agreement or payment link.
- Customer Content means everything you or your Users upload, enter or generate through the Services: customer records, measurements, room photos, quotes, orders, agreements, invoices, messages, catalogs, price lists, files and the Renderings produced for your Account.
- Renderings means images, videos and other visualizations produced by The Blind Bots AI features.
- Plan means a subscription tier (Free, Small Business, Pro or Brand Pro) together with its add-ons.
- Usage means the monthly allowance of AI visualizations included in a Plan, as described on the Pricing page.
- Quorvia Prime means the line of motors, parts and other products that Core Nexus sells directly through the Services.
- Prime Credit means a credit on your Account that can be applied to Quorvia Prime orders or to subscription fees.
- Pricing page means the current prices, allowances and add-ons shown at quorvia.com and in your Account.
3. Eligibility, Accounts & Security
The Services are built for businesses. You must be at least 18 years old (or the age of majority where you live) and able to enter a binding contract. If you open an Account for a company, you confirm that you are authorized to bind it to these Terms.
You are responsible for everything done under your Account. Keep passwords confidential, do not share logins, and tell us at Support@theblindbots.com right away if you suspect unauthorized use. Every person who signs in counts as a User for Plan purposes, installers included.
Give us accurate Account and billing information and keep it current. We may refuse, suspend or close an Account that we reasonably believe is fraudulent, impersonates someone else or violates these Terms.
Account ownership. The Account belongs to the business named on it. If there is a dispute about who controls an Account, we may rely on the business's owner of record or freeze the Account until the dispute is resolved.
Shoppers. If you use a Retailer's chatbot, visualizer, estimate, agreement or payment link, you are a Shopper. Your purchase is with the Retailer, not with us. Sections 4 (AI features and Renderings), 8 (Acceptable Use), 13, 14 and 17 apply to your use of those features, and our Privacy Policy explains how your information is handled.
4. The Services
What we provide. Quorvia and The Blind Bots give a Retailer one record from first photo to purchase order. The AI visualizer and chatbot capture leads and show products on a Shopper's own windows; quoting, e-signatures, deposits and invoicing close the sale; ordering sends the purchase order to the Brand; CRM, scheduling, warranty tracking, email campaigns and engagement tracking handle the rest. Brands receive orders, publish catalogs and pricing, and reach Retailers through the Services.
Roles. A Retailer sells to its own Shoppers and is solely responsible for its quotes, pricing, measurements, installation, products and customer relationships. A Brand is solely responsible for its catalog, pricing, product information, order fulfillment, shipping and warranties. We provide the software and, as described in Section 7, Quorvia Prime products. We are not a party to a sale between a Retailer and a Shopper, or between a Retailer and a Brand.
Orders to Brands. When a Retailer submits an order to a Brand that is on Quorvia, the order appears in the Brand's dashboard and the Brand confirms it under its own terms of sale. When a Retailer orders from a Brand that is not on Quorvia, we may, at the Retailer's request and at no charge, enter the order in the Brand's own ordering portal using the Retailer's dealer account. The Retailer reviews the final order and submits it, and the Brand confirms it on its normal timeline as if the Retailer had entered it. The Retailer remains the buyer of record and is responsible for reviewing every order before submitting it.
Setup and imports. We set up every Account at no charge, including loading catalogs. For a Retailer switching from another system, we import customers, open quotes, order history, photos and files where the prior system can export them in a usable format. We take reasonable care with imports but cannot guarantee that every record transfers completely or correctly; you are responsible for checking imported data.
Changes, availability and beta features. We improve the Services continually and may add, change or retire features. Beta or preview features are provided as is and may change or end at any time. We aim for high availability but do not promise uninterrupted service; maintenance windows and outages happen. Support is available 9 am to 5 pm Central Time, Monday through Friday, at Support@theblindbots.com. We record sales and support calls, with notice at the start of the call, for quality and training.
AI features and Renderings. The Blind Bots uses artificial intelligence to generate conversational responses and Renderings. AI output can be inaccurate, inconsistent or incomplete. Renderings are simulated approximations for reference and sales presentation only. They are not technical drawings, color matches, measurements or product specifications, and they are not an offer by anyone to supply a product that matches the image. Section 13 (Disclaimers) applies to all AI output.
5. Retailer Plans, Billing & Cancellation
Plans. Retailers choose Free, Small Business or Pro. Team size sets the Plan: Free includes 1 User, Small Business up to 3 Users and Pro unlimited Users. Every login counts as a User, installers included. Every Plan includes the business tools (quoting, CRM, scheduling, e-signatures, deposits, ordering, warranty tracking, email campaigns and engagement tracking), the in-app visualizer and a monthly Usage allowance. Small Business adds the website chatbot and live chat; Pro adds the visualizer inside the chatbot so Shoppers can try products on their own windows. Each Plan is one flat price, never a price per User. Current prices, Usage allowances, reset fees, the texting add-on and pricing for 5 or more locations are shown on the Pricing page. The price shown when you subscribe is the price you pay for that billing period; see "Price changes" below.
Usage. Each Plan includes a monthly Usage allowance of AI visualizations. When it runs out, you may buy a reset at the price on the Pricing page or move to a higher Plan. Unused Usage does not roll over.
Billing. Paid Plans are billed in advance, monthly or yearly, to the payment method on your Account through our payment processor. Yearly billing is priced at ten months, and we send a reminder email before a yearly Plan renews. Fees exclude taxes; where we must collect sales tax, we add it. Subscriptions renew automatically at the end of each billing period until you cancel. If a payment fails, we will tell you and may suspend paid features until it is settled. Overdue amounts, including commission, may accrue interest at the lesser of 1.5% per month or the highest rate the law allows.
No contract, no setup fee. There is no minimum term beyond the billing period you choose, no setup fee and no cancellation fee.
Cancellation and refunds. You can cancel at any time in your Account or by emailing Support@theblindbots.com. A monthly Plan stays active until the end of the current billing month and does not renew. A yearly Plan stays active until the end of the paid year and does not renew. Fees already paid are non-refundable and we do not prorate partial periods, except where the law requires a refund. After cancellation your Account moves to Free (or, for a Brand, to free order receiving) unless you ask us to close it; Section 16 explains what happens to your data.
Price changes. We may change prices for new subscriptions at any time. For an existing Plan we will give at least 30 days' notice by email before an increase takes effect, and a yearly Plan keeps its price until its next renewal. We may change what the Free Plan includes on 30 days' notice.
Switcher offer. If you are leaving another quoting, visualization or shop-management system, we will import your data free of charge and give you Pro at no cost until your current contract with that provider ends, up to 6 months, on proof of the contract's end date. After that period, Pro is billed at the price on the Pricing page unless you change Plans.
Quorvia Prime perks. Small Business is free in any calendar month in which your confirmed Quorvia Prime orders total $1,000 or more, and Pro is free in any month in which they total $2,500 or more. The waiver is applied as Prime Credit against that month's subscription fee; on a yearly Plan it is applied as Prime Credit equal to one-twelfth of the yearly price. Paying for Pro yearly adds $200 of Prime Credit. Your first Quorvia Prime order of $500 or more is $100 off, and free motor samples are available on request. Order totals for these perks are measured before tax and shipping and after returns; if a later return brings a month's total below the threshold, we may reverse the corresponding Prime Credit. Prime Credit may be applied to Quorvia Prime orders or to subscription fees, has no cash value, cannot be transferred and expires when your Account closes. We may change or end a promotion for future periods on 30 days' notice; a benefit already earned is honored.
6. Terms for Brands
Listing and orders. A Brand may list its catalog, pricing, stock and dealer tiers on Quorvia and receive orders from Retailers at no charge. Receiving orders and everything around it, including the Brand dashboard, stock checks, automatic confirmation, live pricing, ship dates and dealer tiers, is free. The Brand sets its own prices, dealer terms, lead times and warranties and sells to Retailers under its own terms of sale. We are not a party to those sales.
Brand Pro. Brand Pro is an optional subscription that adds the manufacturing tracker and the other Brand Pro features listed on the Pricing page. Brand Pro is billed at the price on the Pricing page (currently $899 per month or $8,990 per year) for any number of Users, with no setup fee, no minimum term beyond the billing period you choose and no cancellation fee. Section 5 applies to Brand Pro billing, renewal, cancellation and price changes in the same way as to Retailer Plans, except that the Quorvia Prime perks and the switcher offer do not apply to Brands.
Founding Brands. The first 5 Brands to subscribe to Brand Pro on or before December 18, 2026 ("Founding Brands") receive Brand Pro free for their first 6 months and then pay $599 per month (or $5,990 per year) for the remainder of a 24-month period counted from their Brand Pro start date, for as long as the subscription stays continuously active. A Founding Brand's locked price will not increase during that period.
Commission on existing dealers: 0%. Retailers who join Quorvia through the Brand's own invitation link ("Join Quorvia as our retailer") are the Brand's existing dealers. The Brand pays no commission on their orders, ever.
Commission on new dealers: 3% for 12 months. Any other Retailer who orders from the Brand through Quorvia is a new dealer. A Retailer's status as an existing or new dealer is fixed when it first orders from the Brand through Quorvia and does not change if the Brand later sends it an invitation link. On a new dealer's orders the Brand pays Core Nexus a commission of 3% of the order total, measured before tax and shipping and after returns and cancellations, for 12 months from that Retailer's first confirmed order with the Brand. After those 12 months the Retailer's orders are commission-free. Commission is invoiced monthly in arrears, is due within 30 days of the invoice, and may be charged to the payment method on the Brand's Account.
Brand responsibilities and license. The Brand is responsible for the accuracy of its catalog, pricing, product data and images; for fulfilling, shipping and warranting its products; for honoring the prices, dealer tiers and confirmations it shows Retailers through the Services; and for its own tax collection and reporting. The Brand grants Core Nexus and each Retailer a non-exclusive, royalty-free license to display the Brand's catalog, product images and trademarks within the Services, to use its product images to generate Renderings, and to use those Renderings in the Retailer's quotes, proposals and marketing for the Brand's products. The Brand confirms that it holds the rights needed to grant this license.
7. Quorvia Prime Products
What Prime is. Quorvia Prime is our own line of motors, parts and related products, sold by Core Nexus to Retailers through the Services. A Prime order is a sale between you and Core Nexus and is governed by this Section together with the rest of these Terms.
Orders and pricing. Prices, availability and lead times are shown in the Services when you order. An order is accepted when we confirm it. We may decline or cancel an order because of a pricing or listing error, suspected fraud or unavailability, and will refund any amount charged for a cancelled order. Prices exclude tax and shipping, which are shown before you submit the order. If you buy for resale, send us a valid resale certificate; otherwise we collect sales tax where the law requires.
Payment. Prime orders are charged to the payment method on your Account or paid with Prime Credit. The perks tied to Prime orders are described in Section 5.
Shipping and risk of loss. We ship to the address you give us. Title and risk of loss pass to you when the carrier accepts the shipment. Delivery dates are estimates. Inspect shipments on arrival and report shortages or shipping damage to Support@theblindbots.com within 7 days of delivery.
Returns. Unused products in their original packaging may be returned within 30 days of delivery for a refund or Prime Credit. You pay return shipping unless the return is due to our error or a defect. Custom-cut, programmed or installed items cannot be returned unless they are defective.
Limited warranty. Quorvia Prime products are warranted against defects in materials and workmanship under normal use for the period stated on the product page or packing documents. Our sole obligation under this limited warranty is, at our choice, to repair or replace the product or refund its price. The warranty does not cover misuse, improper installation, modification, normal wear or damage after delivery. ANY IMPLIED WARRANTIES ON PRIME PRODUCTS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED TO THE DURATION OF THIS LIMITED WARRANTY, TO THE EXTENT THE LAW ALLOWS. Some states do not allow limits on how long an implied warranty lasts, so this limit may not apply to you. The warranty runs to you, the Retailer; you set your own warranty terms with your Shoppers.
8. Acceptable Use
You agree not to do, or let anyone else do, any of the following:
- Use the Services to break the law, including consumer-protection, privacy, anti-spam and telemarketing laws.
- Send texts or emails through the Services to anyone who has not given the consent the law requires, or ignore an opt-out.
- Upload content that is unlawful, infringing, defamatory, obscene or harassing, or that you have no right to use, including photos of people or homes you lack permission to use.
- Enter false or misleading information, use someone else's information without permission, or impersonate another Retailer, Brand or person.
- Remove, hide or alter the notices in the chatbot and visualizer that tell Shoppers they are interacting with an AI assistant and that Renderings are AI-generated illustrations.
- Copy, scrape, crawl or bulk-export catalogs, pricing, Renderings or other data that is not your Customer Content, or use automated tools that send more requests than a person reasonably would.
- Reverse engineer, decompile or try to extract the source code, models, prompts or algorithms of the Services, or use the Services or their output to build or train a competing product or AI model.
- Resell, sublicense, time-share or white-label the Services without a written agreement with us.
- Share logins, bypass User or Usage limits, probe or interfere with security, or interfere with another Customer's use.
We may remove content, suspend features or suspend an Account that violates this Section, as described in Section 16.
9. Intellectual Property, License & Copyright Claims
Our property. The Services, including the software, AI models, prompts, designs, templates and documentation, and the names Quorvia, The Blind Bots and Quorvia Prime and our logos, belong to Core Nexus or its licensors and are protected by intellectual-property laws. These Terms give you no rights in them other than the license below. Do not use our names or logos without our written permission, except to state truthfully that your business uses Quorvia.
Your license. For as long as your Account is in good standing, we grant you a limited, non-exclusive, non-transferable right to use the Services for your own business, within your Plan and these Terms. API access is subject to the limits in our documentation; keep API keys confidential and do not share them. Templates, sample agreements and other forms in the Services are provided for convenience and are not legal advice; you are responsible for making sure the documents you send comply with the laws that apply to your sales.
Renderings. Renderings created for your Account are your Customer Content (Section 10). You may use them in your sales process, proposals, website and marketing. Because AI output can be similar across users, we do not promise that a Rendering is unique and cannot grant you exclusive rights in it.
Feedback. If you send us suggestions or feedback, we may use them without any obligation to you.
Copyright claims. We respond to notices under the Digital Millennium Copyright Act. If you believe content on the Services infringes your copyright, send a notice to our Designated Copyright Agent by email to Support@theblindbots.com with the subject line "Copyright Infringement," or by mail to the address in Section 19. Include: a description of the work; where the material appears on the Services; your contact details; a statement that you believe in good faith the use is not authorized; a statement that the information in the notice is accurate and, under penalty of perjury, that you are the owner or authorized to act for the owner; and your physical or electronic signature. If your content is removed, you may send a counter-notice meeting 17 U.S.C. 512(g)(3) to the same address, and we may restore the content in 10 to 14 business days unless the claimant tells us it has filed suit. We will terminate the Accounts of repeat infringers in appropriate circumstances.
10. Your Content & Your Data
Your data stays yours. As between you and Core Nexus, you own your Customer Content, subject to any rights of Brands in their product images and trademarks (Section 6). We claim no ownership of your customer records, measurements, photos, quotes, orders, agreements, catalogs or the Renderings produced for your Account.
License to us. So that we can run the Services, you grant us a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display and back up Customer Content, and to share it with the Brands, Shoppers, Users and service providers you direct it to, for example sending a purchase order to a Brand, an estimate to a Shopper, or a room photo to our AI provider to produce a Rendering. This license ends when the content is deleted, except for backups kept for a limited time and the de-identified data described below.
Improving the Services. We may use de-identified and aggregated data derived from use of the Services, for example which products are rendered most, how often quotes convert, or where the AI gets a render wrong, to operate, analyze and improve the Services, including our AI features. De-identified data does not identify you, your Users, a Shopper or a Brand, and we will not try to re-identify it. We do not use your identifiable Customer Content, your Shoppers' photos or your customer lists to train AI models.
Export any time. You can export your customer records, quotes, orders and files from your Account at any time while it is open, and for 30 days after it closes (Section 16). On request we will help with a bulk export at no charge.
Your responsibilities. You are responsible for your Customer Content: that you have the right to upload it, that it is accurate, and that you have given your Shoppers any notices and obtained any consents your own privacy obligations require. Where a Retailer enters a Shopper's personal information, the Retailer is the business responsible for that information, and we process it on the Retailer's behalf under these Terms and our Privacy Policy. Do not upload sensitive personal information such as Social Security numbers, government ID numbers, health information or full payment-card numbers; the Services are not designed to hold them.
Data processing for Retailers. Where we process Shopper personal information on a Retailer's behalf, we will: process it only on the Retailer's documented instructions and for the purposes in these Terms; not sell it or share it for targeted advertising; require confidentiality from our staff; use only qualified service providers bound by written data-protection obligations (a current list is available on request); help the Retailer respond to Shopper rights requests and security incidents, including notice of a confirmed breach affecting its Shoppers without undue delay and no later than 72 hours after we confirm it; delete or return the information when the Account ends, as described in Section 16; and provide reasonable information to show that we meet these obligations. These commitments are meant to satisfy the service-provider and processor requirements of state privacy laws, and we will sign a data processing addendum on request.
Confidentiality. Each party will use the other's non-public pricing, dealer terms, customer and business information only as these Terms allow and will protect it with reasonable care. Core Nexus will not disclose a Brand's dealer pricing to anyone other than the Retailer it is quoted to, and will not disclose a Retailer's customer list to any Brand.
Backups. We back up Customer Content regularly, but you should keep your own copies of anything critical to your business.
11. Third-Party Services, Integrations & Payment Providers
Payments between Retailers and Shoppers. Deposits, invoice payments and other amounts a Shopper pays a Retailer through the Services go directly to the Retailer's own account with a supported payment provider, currently Stripe, with other providers added over time, under that provider's terms. Core Nexus does not hold, receive or control those funds, does not act as a payment processor, money transmitter or escrow agent, and is not responsible for chargebacks, refunds, disputes or taxes on those sales. The Retailer is the merchant of record for its own sales. Our own subscription fees, commission and Quorvia Prime orders are charged by Core Nexus through our payment processor.
Integrations. The Services connect to third-party products such as payment providers, e-signature tools, SMS carriers, email delivery, accounting software (for example QuickBooks), AI providers and Brand ordering portals. Those services are governed by their own terms and privacy policies. We are not responsible for them, and a change on their side may affect a feature.
Brand portals. When you ask us to enter an order in a Brand's own portal (Section 4), you authorize us to use your dealer credentials for that order only. You represent that your dealer agreement and the Brand's portal terms allow you to authorize this access, and you will indemnify us for claims arising from it. We protect stored credentials as we protect Customer Content, use them only for the orders you request, and delete them on request. You remain responsible for the order and for your relationship with the Brand.
Links. The Services may link to websites we do not control. We do not endorse them and are not responsible for their content or practices.
Mobile apps and app stores. If you use our apps from the Apple App Store or Google Play, these Terms are between you and Core Nexus, not Apple or Google. Apple and Google have no obligation to provide maintenance or support for the apps and are not responsible for any warranty, product, or intellectual-property claim relating to them. You must also comply with the app store's own terms. Apple and Google are third-party beneficiaries of this paragraph and may enforce it against you.
12. Electronic Communications, Texting & E-Signatures
Messages from us. By giving us your email address or phone number, you agree that we may send you Account, security, billing and support messages electronically, and that an electronic notice satisfies any legal requirement that a notice be in writing. If you also opt in, for example by checking the opt-in box on one of our forms, we may send you marketing emails and texts. Stop marketing emails with the unsubscribe link in any email. To stop texts, reply STOP (or a similar request such as QUIT, END or UNSUBSCRIBE) to any text from us; we will stop all texts, and may send one message asking whether you also want to stop Account and security texts. Account, security and billing notices continue by email. Reply HELP for help. Consent to marketing texts is not a condition of any purchase. Message frequency varies, and message and data rates may apply.
Messages you send through the Services. The chatbot, live chat, texting add-on and email campaigns let you message your own Shoppers. You are the sender of those messages. You are responsible for obtaining the consent the law requires (including under the TCPA, CAN-SPAM and state laws), for honoring opt-outs promptly, for the content of your messages, and for following carrier and provider rules. You will keep a record of each Shopper's consent and give it to us within 5 business days if we ask, will not send marketing texts outside 8 am to 9 pm at the recipient's location, and will not disable the automatic STOP handling built into the Services. We may suspend messaging features that generate complaints or appear to violate this Section.
E-signatures. Agreements, estimates and other documents may be signed electronically through the Services. You agree that electronic signatures and records created through the Services are valid and enforceable under the federal ESIGN Act and the Indiana Uniform Electronic Transactions Act. You are responsible for obtaining each Shopper's consent to electronic records and signatures, including any consumer disclosures the ESIGN Act requires, and for including in your agreements the cancellation notices that federal and state law require for in-home and other sales (for example under the FTC Cooling-Off Rule). Keep copies of signed documents in your own records.
13. Disclaimers
THE SERVICES, RENDERINGS AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. Quorvia Prime products are covered by the limited warranty in Section 7 instead.
In particular, we do not warrant that the Services will be uninterrupted, secure or error-free; that Renderings or other AI output will be accurate or complete, or will match any physical product in color, size, texture or fit; that quotes, measurements, pricing, stock, lead times or ship dates shown in the Services, which come from you, from Brands or from automated systems, will be correct; or that imported data will be complete. You are responsible for verifying measurements, quotes and orders before you rely on them or submit them.
Retailer and Brand responsibility. A Retailer, not Core Nexus, is responsible to its Shoppers for products, installation, pricing and service. A Brand, not Core Nexus, is responsible for its products, catalog accuracy, fulfillment and warranties. A Rendering is not a promise by Core Nexus that a product will look exactly as rendered, and nothing in these Terms obligates a Retailer to Core Nexus to supply a product that matches a Rendering. A Retailer's obligations to its Shoppers are set by its own agreements with them. We recommend telling Shoppers that Renderings are illustrations; the Services label Renderings as AI-generated, and that label must stay in place (Section 8).
Some states do not allow some of these disclaimers, so some may not apply to you.
14. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CORE NEXUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, SALES, GOODWILL OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF WE WERE TOLD SUCH DAMAGES WERE POSSIBLE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM AND (B) $100. FOR A CLAIM ABOUT A QUORVIA PRIME PRODUCT, OUR TOTAL LIABILITY WILL NOT EXCEED THE PRICE YOU PAID FOR THAT PRODUCT.
These limits apply to every theory of liability, whether contract, tort, negligence, strict liability, statute or otherwise, and are a fundamental part of the bargain between us. They do not limit liability that cannot be limited by law, including liability for personal injury caused by a Prime product where the law does not allow that exclusion. Some states do not allow certain limits, so some may not apply to you.
15. Indemnification
You will defend, indemnify and hold harmless Core Nexus and its officers, directors, employees and agents from any claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of: (a) your Customer Content, including claims that it infringes or violates someone's rights or that you lacked the consents needed to upload or use it; (b) your products, services, quotes, installations, orders and dealings with Shoppers, Brands or Retailers; (c) messages you send through the Services; (d) your violation of these Terms or of any law; or (e) use of your Account by anyone you allowed to use it.
We may take over the defense of a claim at our own expense. You will cooperate with us and will not settle a claim that imposes obligations on us without our written consent.
16. Term, Suspension & Termination
Term. These Terms apply from the moment you first use the Services and continue until your Account is closed.
Closing your Account. You may close your Account at any time in your Account settings or by emailing Support@theblindbots.com. Section 5 explains how a paid Plan ends.
Suspension. We may suspend features or your Account, with notice where practical, if a payment is overdue; if we reasonably believe your use violates Section 8, threatens the security or integrity of the Services, or exposes us or others to legal risk; or if a law or a provider requires it. We lift a suspension once the problem is fixed.
Termination by us. We may close an Account for a material breach of these Terms that is not cured within 15 days after we give notice, or immediately for a breach that cannot be cured, for fraud or for illegal activity. We may also retire the Services or a Plan on at least 60 days' notice, in which case we will refund any prepaid fees for the period after the shutdown.
What happens to your data. After an Account closes, you have 30 days to export your Customer Content (Section 10), and we will provide a bulk export on request at no charge during that window. After 30 days we may delete Customer Content from our active systems; backups are deleted on their normal cycle. We may keep records needed for billing, tax, legal and security purposes, and de-identified data, as described in our Privacy Policy.
Survival. Sections 7 (as to products already delivered), 9, 10 (as to licenses and confidentiality), 13, 14, 15, 17 and 18 survive termination, together with any unpaid fees or commission.
17. Governing Law & Dispute Resolution
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Governing law. These Terms are governed by the laws of the State of Indiana and the federal laws of the United States, without regard to conflict-of-law rules.
Informal resolution first. Before starting arbitration or a lawsuit, you and we agree to try to resolve a dispute informally. Send a written description of the dispute to Support@theblindbots.com (we will write to the email address on your Account) and allow 30 days for resolution.
Binding arbitration. Any dispute, claim or controversy arising out of or relating to these Terms or the Services, including whether a dispute is subject to arbitration, will be resolved by binding arbitration before a single arbitrator, administered by the American Arbitration Association under its Commercial Arbitration Rules (or, for a Shopper, its Consumer Arbitration Rules), in Greenwood or Indianapolis, Indiana, or by video conference if the arbitrator allows. The Federal Arbitration Act governs this clause. The arbitrator may award the same relief a court could, on an individual basis, and judgment on the award may be entered in any court with jurisdiction. Either party may instead bring an individual claim in small-claims court if it qualifies, and either party may ask a court for an injunction to protect intellectual property or to stop unauthorized use of the Services.
Class-action waiver. You and Core Nexus agree that claims may be brought only in an individual capacity, and not as a plaintiff or class member in any class, consolidated or representative action, and that the arbitrator may not consolidate the claims of different parties. If this waiver is found unenforceable for a particular claim, that claim will be decided in court rather than in arbitration, and the rest of this Section still applies.
Opt-out. You may opt out of this arbitration agreement by emailing Support@theblindbots.com within 30 days after you first accept these Terms, stating your name, your Account email and that you opt out of arbitration. If you opt out, or where arbitration does not apply, disputes will be brought exclusively in the state courts of Johnson County, Indiana or the United States District Court for the Southern District of Indiana, and you consent to their jurisdiction. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.
Time limit. To the extent the law allows, any claim must be brought within one year after it arises.
18. General Terms & Changes
Changes to these Terms. We may update these Terms. For material changes we will give at least 30 days' notice by email or in the Services before they take effect, and the effective date at the top will change. If you keep using the Services after that date, you accept the new Terms; if you do not agree, close your Account before they take effect. A change to Section 17 does not apply to a dispute that has already begun.
Entire agreement. These Terms, the Privacy Policy, the Pricing page and any order confirmation or written offer we send you make up the entire agreement between us about the Services, and replace any earlier terms, including the prior Terms of Service for The Blind Bots. If these Terms conflict with a signed written agreement between you and Core Nexus, the signed agreement controls.
Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or to a successor in a merger, acquisition or sale of assets, and will notify you if we do.
Other terms. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. Neither party is liable for delay or failure caused by events beyond its reasonable control, except for payment obligations. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship; we act as a limited agent only to the extent needed to enter an order in a Brand portal at a Retailer's request. We may use subcontractors. These Terms create no rights for third parties, except the license Brands grant Retailers in Section 6, the app store terms in Section 11, and the protection of the people indemnified in Section 15. If we provide a translation of these Terms, the English version controls. Notices to you go to the email address on your Account; notices to us go to the address in Section 19. Headings are for convenience only, and "including" means "including without limitation."
Export laws. You will comply with United States export laws and will not use the Services where they are prohibited.
